Possible Bearish Signals With Graphic Packaging Holding Insiders Disposing Stock

Simply Wall St ·  Feb 1 07:00

In the last year, many Graphic Packaging Holding Company (NYSE:GPK) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Graphic Packaging Holding Insider Transactions Over The Last Year

The Executive VP & CFO, Stephen Scherger, made the biggest insider sale in the last 12 months. That single transaction was for US$4.1m worth of shares at a price of US$25.81 each. So we know that an insider sold shares at around the present share price of US$25.51. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

In the last year Graphic Packaging Holding insiders didn't buy any company stock. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Does Graphic Packaging Holding Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Graphic Packaging Holding insiders own 1.1% of the company, worth about US$89m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Graphic Packaging Holding Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Graphic Packaging Holding shares in the last quarter. We don't take much encouragement from the transactions by Graphic Packaging Holding insiders. The modest level of insider ownership is, at least, some comfort. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
