(“Xin&Mo” for short) plans to increase capital and expand its shares and introduce investors. Existing shareholders of C&W relinquish their priority subscription rights in connection with this capital increase. The Beijing Beidou Haisong Industrial Development and Investment Center (limited partnership) (“Beidou Haisong Fund” for short) plans to increase the capital of Core and Material by RMB 66.0 million in cash, and obtain 8.62% of the shares after the capital increase. After the capital increase was completed, the registered capital of Core & Material increased from RMB 28.17 million to RMB 38.26 million.
The company relinquished priority subscription rights in connection with this capital increase. After the capital increase was completed, the company changed its shareholding ratio from 53.25% to 48.66%. It is still its controlling shareholder and has actual control.
