According to Zhitong Finance App, C-LINK SQ (01463) announced that on December 28, 2023, the buyer (Core Squared Limited, a direct wholly-owned subsidiary of the company), Ms. Zou Cheng and Ms. Le Xian signed a share purchase agreement. According to this, the buyer conditionally agreed to buy, while Ms. Zou Cheng and Ms. Le Xian conditionally agreed to sell 100% of the shares already issued by the joint target company (Shengji Investment Co., Ltd.). As of the date of this announcement, the target companies were owned by Ms. Zou Cheng and Ms. Le Xian respectively.
According to the announcement, all prerequisites for completing the share purchase agreement have been met, and the completion was implemented on January 26, 2024 in accordance with the terms and conditions of the share purchase agreement. After completion, the target company has become an indirect wholly-owned subsidiary of the company, and the financial results of the target group and consolidated affiliated entities will be consolidated into the group's comprehensive financial statements.
According to the share purchase agreement, in order to pay the price, the company has issued and distributed 285 million shares and 190 million consideration shares to SJ Capital Investment and SJ Venture Management respectively at the issue price, accounting for a total of about 16.50% of the company's issued share capital after allotment and expansion of the issuance price shares.
