Gelonghui, January 25, 丨 Capital Financial Holdings (00204.HK) announced that on January 25, 2024, the company entered into a placement agreement with the placement agent. According to the placement agreement, the placement agent agreed to do its best to place up to 144 million new shares to no less than six independent undertakers for and on behalf of the company at a price of HK$0.65 per share.
The placement price is HK$0.65 per placed share. The placement price was discounted by about 19.75% compared to the closing price of HK$0.81 per share on January 25, 2024 (the date of the placement agreement); the highest number of shares placed accounted for about 16.65% of the company's total issued share capital due to the increase in placement matters. The net proceeds from the placement process are approximately HK$92.5 million (assuming that the placement shares are known and all related expenses have been deducted) and will be used as possible future investment opportunities, loan repayment and general working capital of the Group from time to time.
