Insiders At Clearwater Analytics Holdings Sold US$796k In Stock, Alluding To Potential Weakness

Simply Wall St ·  Jan 19 08:04

Quite a few Clearwater Analytics Holdings, Inc. (NYSE:CWAN) insiders sold their shares over the past year, which may be a cause for concern. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Clearwater Analytics Holdings Insider Transactions Over The Last Year

The Chief Technology Officer, Souvik Das, made the biggest insider sale in the last 12 months. That single transaction was for US$340k worth of shares at a price of US$17.01 each. That means that an insider was selling shares at slightly below the current price (US$19.38). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was 86% of Souvik Das's holding.

In the last year Clearwater Analytics Holdings insiders didn't buy any company stock. Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Clearwater Analytics Holdings insiders own 0.3% of the company, worth about US$14m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
