Gelonghui, January 15 | Karen Co., Ltd. (300715.SZ) announced that the company plans to jointly fund the establishment of “Jiangsu Kailun Zero Carbon Technology Co., Ltd.” (tentative name, “Joint Venture”) with Suzhou Haojing Yunxing Investment Management Partnership (“Haojing Yunxing Investment”), Qian Maorong, and Suzhou Kaineng Investment Partnership (“Kaineng Investment” for short). The registered capital of the joint venture is RMB 50 million, of which the company invested 25.5 million yuan, accounting for 51% of the registered capital, Haojing Yunxing Investment invested 17.5 million yuan, accounting for 35% of the registered capital, Qian Maorong invested 5 million yuan, accounting for 10% of the registered capital, and Kaineng Investment invested 2 million yuan, accounting for 4% of the registered capital.
After the establishment of the joint venture, it is planned to sign an “Equity Transfer Agreement” with Suzhou Karen Construction Engineering Co., Ltd., a wholly-owned subsidiary of Karen Co., Ltd., to acquire related assets.
Suzhou Kailun New Energy Technology Co., Ltd. (hereinafter referred to as the “target company”) is a limited liability company established by law with a registered capital of 20 million yuan, and the transferor holds 100% of the target company's shares; the transferor agreed to transfer 100% of the target company's shares to the transferee, and the transferee agreed to transfer the aforementioned shares.
The company's foreign investment and establishment of a joint venture is based on industrial layout considerations.
