China Jindian Group (08281) announced that the board of directors of the company was informed by Ms. Li Qiuyan, the chairman, executive director and controlling shareholder of the company. On January 11, 2024 (after the trading period), Zhongbao Mary Investment Co., Ltd., wholly owned by Ms. Li, signed a sales agreement with HCare Investment Holdings Co., Ltd. Based on this, HCare agreed to sell and Zhongbao Marie agreed to acquire a total of 18 million shares of the company. The acquisition will be completed within five business days from the date of entering into such agreements or at such later date as may be agreed between the relevant seller and Capital Financial Holdings.
As of the date of this announcement, Zhongbao Marie held 576 million shares, which is equivalent to about 57.6% of the total number of shares issued. After the acquisition is completed, Zhongbao Marie will hold 594 million shares, equivalent to about 59.4% of the total number of issued shares. Zhongbao Marie will remain the controlling shareholder. HCare will hold 18 million shares, equivalent to approximately 1.8% of the total number of issued shares.
