The company was informed by Pynk Holding Limited (Pynk Holding), the controlling shareholder of the company that Pynk Holding had entered into a placement agreement with Ligao Securities Limited (Placing Agent) on January 5, 2024. According to the placement agreement, the placement agent agreed to do everything possible to induce the buyer (undertaker) at a price of not less than HK$0.45 per share of the company until January 11, 2024 Alternatively, the parties to the placement agreement may purchase up to 180 million shares of the company (placement shares) held by Pynk Holding during other dates, equivalent to 30.0% of the company's current issued share capital (placement matters).
Under the Placing Agreement, the Placing Agent undertakes to do its best to confirm to the consignee that it and/or its ultimate beneficial owner is any director, chief executive, senior management or major shareholder independent of Pynk Holding, the Company, its subsidiaries, or any of their respective contacts, and is not acting in concert with the foregoing persons.
