The company held the 37th meeting of the 3rd board of directors on January 3, 2024 to review and pass the “Proposal on the Holding Subsidiary's Application for Public Issuance of Shares to Unspecified Eligible Investors and Listing on the Beijing Stock Exchange”, agreeing to the company's holding subsidiary Ruihong Suzhou Electronic Chemicals Co., Ltd. (“Ruihong Suzhou” for short) to apply for a public offering of shares to unspecified qualified investors and listing on the Beijing Stock Exchange. The public offering has been reviewed and approved by the board of directors of Ruihong Suzhou, and still needs to be submitted to the Ruihong Suzhou Shareholders' Meeting and the Company's Shareholders' Meeting for approval.
Ruihong Suzhou plans to publicly issue no more than 38.4 million shares to unspecified qualified investors. In addition to the number of publicly issued shares mentioned above, Ruihong Suzhou and the lead underwriter will take the opportunity to use the over-allotment option according to the specific issuance situation. The number of shares issued using the over-allotment option shall not exceed 15% of the number of shares issued this time, that is, no more than 5.76 million shares (including the number of shares).
