Tecnoglass Insiders Sell US$20m Of Stock, Possibly Signalling Caution

Simply Wall St ·  Jan 3 07:09

The fact that multiple Tecnoglass Inc. (NYSE:TGLS) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Tecnoglass

The CEO & Director, José Daes, made the biggest insider sale in the last 12 months. That single transaction was for US$12m worth of shares at a price of US$42.26 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$45.16. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was 100% of José Daes's stake.

Insider Ownership Of Tecnoglass

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 1.1% of Tecnoglass shares, worth about US$24m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
