Gelonghui, January 3, 丨 China Greenland Boda Luze (01253.HK) announced that all the prerequisites for the share exchange agreement and settlement agreement set forth in the “Stock Exchange Agreement - Prerequisites for the Stock Exchange Agreement” and “Settlement Agreement - Prerequisites for Settlement Agreement” in the board of directors letter have been met. The completion of the stock exchange and settlement were implemented simultaneously on January 3, 2024.
After completion of the share exchange and settlement, (i) the Company officially allotted and issued 1,979,000,000 redeemed shares to Greenland Financial at an issue price of HK$0.1 per share; and (ii) the Company officially allotted and issued 300,796,510 shares and 199,476,490 shares to Inscription Capital and Easten Capital, respectively, at an issue price of HK$0.1 per share. As of the date of this joint announcement, exchange shares and settlement shares accounted for approximately 33.99% and 8.60% of the expanded paid up issued share capital of the company, respectively.
