Zhonghui Group (00382) announced that with the amendments to Chapter 17 of the listing rules coming into effect on January 1, 2023, the company proposed to terminate the 2019 share option plan and adopt the 2024 share option plan to replace the 2019 share option plan. According to the terms of the 2019 share option plan, the company can terminate the 2019 share option plan by passing an ordinary resolution at the shareholders' meeting.
The 2024 share option plan will constitute a share plan under Chapter 17 of the revised listing rules involving the granting of share options for new shares, and the shareholders will pass the necessary resolution at the company's shareholders' meeting to adopt the 2024 share option plan, and authorize the board of directors to grant share options under the 2024 share option plan and allocate, issue and trade the relevant number of shares due to the exercise of any share option granted under the 2024 share option plan; and the listing committee approves any exercise by the company in accordance with the terms and conditions of the 2024 share option plan The shares required to be issued for such share options take effect after listing and trading.
