Zhitong Finance App News, Jiami Technology (08198) issued an announcement on matters relating to the company's intention to issue 805.917 million shares to acquire 55.45% of Your Choice Ever Best's shares. According to the agreement, completion of the acquisition is subject to the prerequisites contained in the agreement being reached (or exempted) on or before the deadline date. The deadline has been extended to December 31, 2023 (after the deadline has been extended).
As certain preconditions are not reached (or waived) under the agreement before the expiration of the extended deadline, the agreement will automatically and immediately terminate without either party being liable to the other party (other than any liability arising from breach of the agreement prior to termination).
The Board believes that the termination of this agreement and the lapse of major transactions will not have any significant adverse effect on the Group's current business, operations or financial position.
