In order to accelerate the implementation of the Guizhou Jiangshan phosphorus chemical recycling industry chain integration project, the company and Guizhou Wengfu Chemical Co., Ltd. (“Wengfu Chemical”) jointly established “Guizhou Jiangshan Crop Technology Co., Ltd.” (“Guizhou Jiangshan”) as the main body of project construction and operation to carry out pre-project preparations after review and approval by the fourth meeting of the 9th board of directors of the company.
According to the actual needs of project construction, the company and Wengfu Chemical plan to increase capital of Guizhou Jiangshan in the same proportion in cash. Among them, the company will increase capital from 58.5 million yuan to 773.5 million yuan to 832 million yuan according to a 65% shareholding ratio; according to a 35% shareholding ratio, Wengfu Chemical will increase the capital investment amount from 31.5 million yuan to 416.5 million yuan to 448 million yuan. After the capital increase was completed, the registered capital of Guizhou Jiangshan increased from 90 million yuan to 1.28 billion yuan, and the shareholders' investment ratio remained unchanged. Guizhou Jiangshan is still a holding subsidiary within the scope of the company's consolidated statements.
