(hereinafter referred to as “Jiangsu Weikair”) is a pharmaceutical enterprise focusing on the development of innovative chemical drugs. Yatai Pharmaceutical Group Co., Ltd., a wholly-owned subsidiary of the company, holds 24.0986% of its shares and is its second largest shareholder. According to the company's business needs, in order to improve the company's balance and liability structure, Yatai Pharmaceutical Group Co., Ltd., a wholly-owned subsidiary of the company, transferred 7.7273%, 0.7727%, 0.7045%, and 0.3409% of the shares of Jiangsu Weikaier Pharmaceutical Technology Co., Ltd. to Jiangsu Guoshou Yuquan Equity Investment Center (limited partnership), Hangzhou Hongyao Tonghui Science and Technology Innovation Partnership (limited partnership), Nanjing Zijinshan Yingcai Innovation and Venture Capital Fund Partnership (Limited Partnership).
Jiangsu Weikell plans to simultaneously implement capital increases and equity incentives. After this transaction and the implementation of Jiangsu Weikell's capital increase and equity incentives, the company's shareholding ratio in Jiangsu Weikell was changed from 24.0986% to 12.5960%. On December 28, 2023, Yatai Pharmaceutical Group Co., Ltd. signed the “Equity Transfer Agreement on Jiangsu Weikair Pharmaceutical Technology Co., Ltd.” with Jiangsu Guoshou Yuquan Equity Investment Center (Limited Partnership), Hangzhou Hongyao Tonghui Science and Technology Innovation Partnership (Limited Partnership), Nanjing Zijinshan Talent Innovation and Venture Capital Fund Partnership, and Jiangsu Weikell, respectively.
