Zhitong Finance App News, China Creative Holdings (08368) issued an announcement regarding the company's share subscription agreement with Mr. Ang Yu Yuan Shawn dated November 10, 2023 (AYY subscription agreement) and the company's share subscription agreement with Mr. Sia Wei Soon dated November 10, 2023 (SWS subscription agreement).
The Board of Directors announced:
(1) All conditions under the AYY subscription agreement have been fulfilled, and the AYY subscription was completed on December 27, 2023. A total of approximately 35.996 million shares (accounting for about 6.81% of the company's issued share capital immediately after the subscription was completed) have been allocated and issued to Mr. Ang at a subscription price of HK$0.53 per share under special authorization from AYY; and
(2) All conditions under the SWS subscription agreement have been fulfilled, and the SWS subscription was completed on December 27, 2023. A total of approximately 19.887 million shares (accounting for about 3.63% of the company's issued share capital immediately after the subscription was completed) have been allocated and issued to Mr. SIA at a subscription price of HK$0.53 per share under special authorization from SWS.
After deducting professional fees and other expenses, the total net proceeds from AYY subscription items and SWS subscription items were approximately RMB 15.955 million and RMB 8.498 million respectively.
