While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

EOG Resources Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider purchase was by Independent Director Michael Kerr for US$2.6m worth of shares, at about US$130 per share. So it's clear an insider wanted to buy, even at a higher price than the current share price (being US$122). Their view may have changed since then, but at least it shows they felt optimistic at the time. To us, it's very important to consider the price insiders pay for shares. It is encouraging to see an insider paid above the current price for shares, as it suggests they saw value, even at higher levels. Michael Kerr was the only individual insider to buy shares in the last twelve months.

For a common shareholder, it is worth checking how many shares are held by company insiders. EOG Resources insiders own about US$249m worth of shares (which is 0.3% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
