After considering the relevant facts and circumstances, the Audit Committee believes that choosing another large accounting firm to replace KPMG would be in the overall best interests of the company and its shareholders, and has recommended the proposed dismissal and appointment to the board of directors to seek shareholders' approval. According to the company's articles of association, the proposed dismissal must pass an ordinary resolution at the special shareholders' meeting before it can be implemented.
On the recommendation of the Audit Committee, the Board of Directors believes that Guofuhao is a large accounting firm and that the firm can invest appropriate and sufficient resources to carry out the audit work of the company for the fiscal year ending December 31, 2023, and therefore recommended appointing a new auditor for Guofuhao Huawei for a term of office until the end of the company's next annual general meeting of shareholders.
