Selling Central Garden & Pet Shares at a Lower Price Than Current Market Value May Have Been a Costly Mistake for Insiders

Simply Wall St ·  Nov 22, 2023 05:32

Central Garden & Pet Company's (NASDAQ:CENT) value has fallen 13% in the last week, but insiders who sold US$1.0m worth of stock over the last year have had less success. Insiders would probably have been better off holding on to their shares given that the average selling price of US$45.64 is still lower than the current share price.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Central Garden & Pet

Over the last year, we can see that the biggest insider sale was by the Director, Brooks Pennington, for US$1.0m worth of shares, at about US$45.64 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$39.52. So it may not tell us anything about how insiders feel about the current share price. Brooks Pennington was the only individual insider to sell shares in the last twelve months.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Central Garden & Pet insiders own 9.0% of the company, worth about US$199m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Does This Data Suggest About Central Garden & Pet Insiders?

The fact that there have been no Central Garden & Pet insider transactions recently certainly doesn't bother us. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Central Garden & Pet insiders selling.
