It still needs to be reviewed and approved by the Shenzhen Stock Exchange and registered with the approval of the China Securities Regulatory Commission.
This time, the target of issuing shares to specific targets using simple procedures is no more than 35 specific investors (inclusive) who meet the conditions stipulated by the China Securities Regulatory Commission. The pricing reference date for this release is the first day of the distribution period. The issue price is not less than 80% of the average trading price of the company's A shares in the first 20 trading days of the pricing base (that is, the “reserve price for issuance”; two decimal places are retained according to the “further method”). The number of shares issued this time will be determined by dividing the total amount of capital raised by the issue price. The number of shares to be issued shall not exceed 25 million shares (including principal amount) and no more than 30% of the total share capital of the company before this issuance.
The total capital raised by this offering is expected to be no more than RMB 300 million (including principal amount). The net capital raised after deduction of distribution fees will be invested entirely in the SuperMap GIS 12 basic software upgrade development and industrialization project.
