One Party Holdings (08305) announced that since the conditions under the placement agreement were not met on or before November 17, 2023, the placement agreement expired on November 17, 2023. According to the placement agreement (as amended and supplemented by the supplementary placement agreement), all rights, obligations and liabilities of each contracting party under the placement agreement (as amended and supplemented by the supplementary placement agreement) will cease and be determined, and no one party to the placement agreement may make any claim against the other party in respect of the placement agreement, except in relation to any prior breach of contract and/or any rights or obligations that may arise under the placement agreement.
The directors of the company believed that the failure of the placement matter had no significant adverse impact on the Group's current business operations and financial position.
