According to the Zhitong Finance App, Huaxun (00833) announced that Shenzhen Dexun signed a settlement agreement with the plaintiff on October 31, 2023. The main terms of the settlement agreement include:

1. The contract between the plaintiff and Shenzhen Dexun in relation to the purchase order has been terminated. Shenzhen Dexun must make a one-time payment of RMB 7.92 million to the plaintiff before November 8, 2023 to settle all disputes arising from the legal action. Otherwise, Shenzhen Dexun should pay the plaintiff 5,000 yuan a day until the settlement is fully settled;

2. The plaintiff must apply to the court within two days after receiving the settlement to lift the court order freezing Shenzhen Dexun's bank deposit of about RMB 10.8 million. Otherwise, Shenzhen Dexun has the right to require the plaintiff to pay RMB 5,000 per day from the date of the overdue application until all assets are unfrozen;

3. Shenzhen Dexun must retrieve all inventory (including finished products, semi-finished products and raw materials) from the plaintiff before November 13, 2023. Otherwise, the plaintiff has the right to require Shenzhen Dexun to pay RMB 5,000 per day starting from the overdue date until the day the inventory is emptied;

And 4. The plaintiff must bear the case handling fee of RMB 45,100 and the property preservation fee of RMB 5,000.

Shenzhen Dexun and the plaintiff both agreed that the settlement agreement would be the settlement of the lawsuit. Apart from the terms stipulated in the settlement agreement, neither party may file any other claims against the other party for any reason.

The Company believes that the payment of the settlement will not have any significant adverse impact on the Group, and that the Group's business and operations will remain normal.
