Stepan Insiders Sell US$1.4m Of Stock, Possibly Signalling Caution

Simply Wall St ·  Oct 3, 2023 08:03

Over the past year, many Stepan Company (NYSE:SCL) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Stepan

Over the last year, we can see that the biggest insider sale was by the Non-Executive Chairman, F. Stepan, for US$584k worth of shares, at about US$110 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$71.38. So it may not shed much light on insider confidence at current levels.

Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 5.2% of Stepan shares, worth about US$88m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
