Gelonghui September 8Tianyin Holdings (000829.SZ) announcedOn September 6, 2023, Mr. Huang Shaowen and Mr. Xiao Shuilong signed the Equity transfer Agreement with Mr. Tao Xuechang respectively, transferring 23.28% and 48.00% of their respective equity interests in Tianfujin to Mr. Tao Xuechang, including all carried interests and rights and obligations under the equity. Mr. Tao Xuechang guarantees that the transfer price is legal. Mr. Huang Shaowen and Mr. Xiao Shuilong no longer hold shares in Tianfujin and act in unison to dissolve the relationship. Mr. Tao Xuechang owns a total of 71.27% of Tianfujin and becomes the actual controller of Tianfujin, thus indirectly holding 100474022 shares of the company, accounting for 9.80% of the total share capital of the company. The number of shares directly held by Mr. Huang Shaowen remains unchanged.
This change in rights and interests will not lead to changes in the company's controlling shareholders and actual controllers, nor will it have an impact on the production and operation of the company.After the change of rights and interests, the actual controller of Shenzhen Tianfujin Venture Capital Co., Ltd. changed from Mr. Huang Shaowen to Mr. Tao Xuechang.
