Zhitong Financial APP News, Blue River Holdings (00498) announced that with effect from July 1, 2023: (I) (a) Marc Andreas Tschirner will resign as executive director and president of the company because of his other business matters; (b) Shen Qingxiang will resign as executive director and vice chairman of the company because of his other business matters.
(II) Kwong Kai-shing, the current Chairman and Executive Director of the Board, will be appointed as President
(III) (a) Shen Qingxiang will cease to be the authorized representative of the company within the meaning of Rule 3.05 of the rules governing the listing of Securities on the Stock Exchange of Hong Kong Limited and the authorized representative of the company accepting process and notices in Hong Kong on behalf of the company under part 16 of the companies Ordinance (Cap. 622). Kwong Qicheng will act as authorized representative and legal representative; (b) (I) the current executive director, or Weijun, will be appointed as a member of the company's remuneration committee; (ii) Marc Andreas Tschirner will resign as a member of the remuneration committee, the corporate governance and regulations committee and the company's share repurchase committee; (iii) Shen Qingxiang will resign as a member of the remuneration committee, the company's nomination committee and the share repurchase committee. And (iv) Chen Diqiang (the current Group Chief Financial Officer of the company) will act as the alternate authorized representative of Kuang Qicheng (replacing Mr. Shen).
