Don't Ignore The Fact That This Insider Just Sold Some Shares In BlackRock, Inc. (NYSE:BLK)

Simply Wall St ·  Feb 5, 2023 08:05

We wouldn't blame BlackRock, Inc. (NYSE:BLK) shareholders if they were a little worried about the fact that Mark Wiedman, a company insider, recently netted about US$2.5m selling shares at an average price of US$763. That's a big disposal, and it decreased their holding size by 28%, which is notable but not too bad.

The Last 12 Months Of Insider Transactions At BlackRock

The Chairman & CEO, Laurence Fink, made the biggest insider sale in the last 12 months. That single transaction was for US$30m worth of shares at a price of US$685 each. That means that an insider was selling shares at slightly below the current price (US$757). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 7.3% of Laurence Fink's holding.

Does BlackRock Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. BlackRock insiders own 1.0% of the company, currently worth about US$1.1b based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Does This Data Suggest About BlackRock Insiders?

Insiders sold stock recently, but they haven't been buying. And our longer term analysis of insider transactions didn't bring confidence, either. It is good to see high insider ownership, but the insider selling leaves us cautious.
