Dillard's, Inc. (NYSE:DDS) Insiders Got a Good Deal: Sold Stock Currently Worth US$297 at US$320 Over the Past Year

Simply Wall St ·  Sep 22, 2022 11:55

Last week, Dillard's, Inc.'s (NYSE:DDS) stock jumped 3.3%, but insiders who sold US$480k worth of stock in over the past year are likely to be in a better position. Selling at an average price of US$320, which is higher than the current price, may have been the wisest decision for these insiders as their investment would have been worth less now than when they sold.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Dillard's

Over the last year, we can see that the biggest insider sale was by the Independent Director, J.C. Watts, for US$320k worth of shares, at about US$320 per share. That means that an insider was selling shares at around the current price of US$297. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

In total, Dillard's insiders sold more than they bought over the last year. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Insider Ownership Of Dillard's

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Dillard's insiders own about US$1.3b worth of shares (which is 25% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Dillard's Insiders?

The fact that there have been no Dillard's insider transactions recently certainly doesn't bother us. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Dillard's insider transactions don't fill us with confidence.
