Insiders Who Sold BancFirst Corporation's (NASDAQ:BANF) Earlier This Year Didn't Have to Weather This Week's 3.9% Slide

Simply Wall St ·  Sep 5, 2022 12:15

BancFirst Corporation's (NASDAQ:BANF) stock price has dropped 3.9% in the previous week, but insiders who sold US$39m in stock over the past year have had less luck. Given that the average selling price of US$87.11 is still lower than the current share price, insiders would probably have been better off keeping their shares.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

BancFirst Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Executive Chairman, David Rainbolt, for US$24m worth of shares, at about US$84.06 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$106. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 2.7% of David Rainbolt's holding.

Over the last year we saw more insider selling of BancFirst shares, than buying. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. By clicking on the graph below, you can see the precise details of each insider transaction!

BancFirst Insiders Are Selling The Stock

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. BancFirst insiders own 35% of the company, currently worth about US$1.2b based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

What Might The Insider Transactions At BancFirst Tell Us?

Insiders sold BancFirst shares recently, but they didn't buy any. Despite some insider buying, the longer term picture doesn't make us feel much more positive. But since BancFirst is profitable and growing, we're not too worried by this. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
