The Subscription Agreement, signed on 22 December 2023, involves the subscription of 19,516,000 shares of New Ordinary Shares by Mr Wu Kin-wei at a price of HK$0.82 per share. The Extraordinary General Meeting shall authorize the Directors to distribute and issue the Subscription Shares under the terms of the Subscription Agreement and authorize any of the Directors to take the necessary action to enter into the Transaction. The registration of shares will be suspended from 12 to 15 March 2024 to determine who is entitled to attend and vote.
