AXIOMA CAPITAL FZE LLC (THE “CONTRACTOR”) ANNOUNCES THAT ITS MANDATORY UNCONDITIONAL CASH CONTRACT WITH TEJIANG FIELD CO., LTD. (THE “COMPANY”) HAS BEEN TERMINATED AT 4 P.M. ON FEBRUARY 22, 2024 AND HAS NOT BEEN FURTHER AMENDED OR EXTENDED. As of the Term Deadline, the Contracting Party has received an effective acceptance of approximately 26.15% of the issued shares of the Company and an effective acceptance of approximately 51.27% of the Share Option. The Contracting Party and its Consistent Operators held approximately 30.61% of the Company's shares prior to the commencement of the Contract Period, together with the shares acquired in this secondary agreement, for a combined shareholding ratio of approximately 56.76%. The company's public shareholding is approximately 43.24%, which meets the minimum public shareholding requirements under the Listing Rules. The unaccepted call option will automatically expire at the closing date of the contract.
