The transaction relates to the Framework and Transfer Agreement signed by CK Hutchison Group Telecom Italy Investments S.à r.l. (“CKHGTI”) with Marconi TopCo S.à r.l. (the “Investor”) on 12 May 2023, as well as related business injections, subscriptions and transfers. Due to unmet conditions, the agreement was terminated on February 13, 2024.
