BADE INTERNATIONAL LIMITED ANNOUNCED ON 31 JANUARY 2024 THAT IT HAD SIGNED A MEMORANDUM OF UNDERSTANDING WITH THE ULTIMATE BENEFICIAL OWNER OF A CHINESE METAL COMMODITIES PRODUCTION AND SALES COMPANY TO CONDUCT PRELIMINARY NEGOTIATIONS ON A POSSIBLE ACQUISITION OF THE ENTIRE SHAREHOLDING OF THE TARGET COMPANY. The MOU is for a period of 12 months, during which the Group will conduct further due diligence and consultations on the terms of the transaction, but has not yet formed a legally binding agreement. Bard International reminds shareholders and potential investors that the proposed transaction may not take place as there is currently no binding agreement and caution should be exercised when buying and selling the Company's securities.
