JOINTLY ANNOUNCE THAT THE COMPREHENSIVE DOCUMENT ON THE UNCONDITIONAL MANDATORY CASH AGREEMENT SUBMITTED BY CENTRAL GROUP TO JIAMIN GROUP, ORIGINALLY SENT ON OR BEFORE DECEMBER 28, 2023, WILL BE FURTHER DELAYED UNTIL JANUARY 19, 2024. This subcontract relates to all of the issued shares of the Jiamin Group (with the exception of the owners of the Central Army Group and/or its related party). The delay was due to the fact that the contracting party was still finalising certain information in the comprehensive document, including a letter of opinion from an independent financial adviser. The Independent Board of Directors will need additional time to review these documents and determine their recommendation letters. The Contracting Party and the Jiamin Group will make a separate announcement at the time of dispatch of the consolidated document. This joint announcement has been published on the HKEx website and on the Jiamin Group website.
