The financing arrangement requires that the holding shareholders Mr. Zhang Jie, Mr. Zhang Jianhua and Mr. Zhang Yiu Wah jointly hold no less than 35% of the issued share capital, and breach of this provision would constitute a default. At present, Mr. Zhang Jie and Mr. Zhang Yiu Wah through Prosper Empire Limited hold approximately 38.70% of the shares of the company, and the controlling shareholders together hold approximately 4.55% of the shares directly.
