(“YALIFE”) WILL HOLD AN INTERIM GENERAL MEETING ON JANUARY 24, 2024 TO DISCUSS THE SUPPLEMENTAL AGREEMENT FOR THE 2021 PROPERTY MANAGEMENT SERVICES FRAMEWORK AGREEMENT AND THE 2024 NON-EXEMPT CONTINUING CONNECTED TRANSACTION AGREEMENT SIGNED WITH YAJURE GROUP HOLDINGS LIMITED (“YAHULE”). The Supplemental Agreement provides an additional settlement mechanism for Aya Life that allows outstanding payments to be offset against outstanding payables from the Ayuroke Group's unsold real estate assets. In addition, Ya Life and Yagulok have entered into a 2024 Property Management Services Framework Agreement, Marketing Services Framework Agreement and Referral Framework Agreement to continue their partnership and provide a stable source of income for Ya Living. The General Meeting will consider the above agreement and vote on whether to approve the above agreement.
