(TSXV: GDNP) (OTCQB: GDNPF) (the "Company" or "good natured"), a North American leader in plant-based products, announces that the TSX Venture Exchange (the "TSXV") has agreed to extend the closing of its non-brokered private placement financing (the "Offering"), first announced on February 14, 2024 and previously extended on April 22, 2024, to on or before May 19, 2024. The Offering shall be composed of the sale of up to 83,333,333 units (the "Units") of the Company at a price of $0.06 per Unit (the "Issue Price") for aggregate gross proceeds of up to $5 million. All terms of the Offering other than the extension of the closing date as described herein remain unchanged.

All securities issued pursuant to the above referenced Offering will be subject to a statutory four-month hold period. The Offering is subject to a number of conditions, including without limitation, approval of the TSXV.
