Some Arch Capital Group Ltd. (NASDAQ:ACGL) shareholders may be a little concerned to see that the President, Nicolas Alain Papadopoulo, recently sold a substantial US$5.3m worth of stock at a price of US$87.52 per share. However, that sale only accounted for 8.4% of their holding, so arguably it doesn't say much about their conviction.
The Last 12 Months Of Insider Transactions At Arch Capital Group
The CEO & Director, Marc Grandisson, made the biggest insider sale in the last 12 months. That single transaction was for US$30m worth of shares at a price of US$85.62 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$87.61. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 15% of Marc Grandisson's holding.

Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Arch Capital Group insiders own about US$910m worth of shares (which is 2.8% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
