Old National Bancorp Sees Insider Stock Selling

Looking at Old National Bancorp's (NASDAQ:ONB ) insider transactions over the last year, we can see that insiders were net sellers. That is, there were more number of shares sold by insiders than there were purchased.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Old National Bancorp Insider Transactions Over The Last Year

The insider, Michael Scudder, made the biggest insider sale in the last 12 months. That single transaction was for US$841k worth of shares at a price of US$16.81 each. So what is clear is that an insider saw fit to sell at around the current price of US$16.39. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign. Michael Scudder was the only individual insider to sell over the last year.

Happily, we note that in the last year insiders paid US$268k for 20.70k shares. But they sold 83.24k shares for US$1.4m. Michael Scudder divested 83.24k shares over the last 12 months at an average price of US$17.26. Insider Ownership Of Old National Bancorp

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 1.0% of Old National Bancorp shares, worth about US$48m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

It doesn't really mean much that no insider has traded Old National Bancorp shares in the last quarter. We don't take much encouragement from the transactions by Old National Bancorp insiders.
