We wouldn't blame CMS Energy Corporation (NYSE:CMS) shareholders if they were a little worried about the fact that John Russell, the Independent Chairman of the Board recently netted about US$1.1m selling shares at an average price of US$55.53. That's a big disposal, and it decreased their holding size by 10%, which is notable but not too bad.

CMS Energy Insider Transactions Over The Last Year

In fact, the recent sale by John Russell was the biggest sale of CMS Energy shares made by an insider individual in the last twelve months, according to our records. That means that an insider was selling shares at below the current price (US$55.74). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 10% of John Russell's holding.

In the last year CMS Energy insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 0.5% of CMS Energy shares, worth about US$78m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The CMS Energy Insider Transactions Indicate?

Insiders haven't bought CMS Energy stock in the last three months, but there was some selling. And even if we look at the last year, we didn't see any purchases. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying! While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. For example, CMS Energy has 3 warning signs (and 1 which shouldn't be ignored) we think you should know about.
