Zhitong Financial App News, China Nuclear International (02302) issued an announcement that the Group, notified by its associate China Nuclear Financial Leasing Co., Ltd., unanimously passed a shareholders' resolution on August 31, 2023, increasing the registered paid-up capital of CNPC Lease from about 3.24 billion yuan to about 4.88 billion yuan. The three existing shareholders of CNPC Lease will add about RMB 1.8 billion by way of capital increase, of which CNNC Lease will enter about RMB 1.64 billion as paid-in capital and about RMB 160 million as capital reserve. The Group did not choose to participate in the capital increase. After the adoption of the resolution, all shareholders of CNPC Lease will sign the Capital increase Agreement on this capital increase.
CNPC Lease shall formally register this capital increase and amend its memorandum and articles of association accordingly. Formal registration and changes to the articles of association are expected to be completed by the end of 2023. As the group did not participate in this capital increase, after the completion of this capital increase, the group's stake in CNR Lease is expected to be reduced from about 11.36% to about 7.55%. CNPC's board of directors will continue to be composed of seven directors, one of whom will be appointed by the group.
