The Royal Bank of Canada has filed a Registration Statement for the issuance of its Senior Global Medium-Term Notes, Series J, which upon fulfillment of specific conditions, will be valid and binding obligations of the bank. Davis Polk & Wardwell LLP, as special United States products counsel, has provided an opinion on the enforceability and validity of these notes, ensuring they comply with applicable laws and the bank’s corporate governance. The opinion is limited to the laws of New York but is supported by the opinion of Canadian counsel, Norton Rose Fulbright Canada LLP.
