On May 9, Ge Longhui (603041.SH) announced that the company received a “Working Letter on Objection to Lin Hui's Appointment as an Independent Director” from the Shanghai Stock Exchange. After investigation, during his time as an independent director of Jiangsu Hongtu Hi-Tech Co., Ltd., Hongtu Hi-Tech disclosed illegal information from 2017 to 2018. The China Securities Regulatory Commission warned Lin Hui and imposed a fine of 100,000 yuan. According to section 7 of the “Administrative Measures on Independent Directors of Listed Companies”, section 4.3.3 of the “Stock Listing Rules”, and section 3.5.5 of the “Self-Regulatory Guidelines for Listed Companies No. 1 - Regulating Operation”, the Shanghai Stock Exchange determined that Lin Hui did not meet the relevant requirements such as the conditions of employment, and was not nominated as an independent director candidate according to regulations. The board of directors of the company shall not submit Lin Hui as an independent director candidate to the shareholders' meeting for consideration.
The board of directors of the company agreed to cancel the nomination of Mr. Lin Hui, an independent director candidate for the 5th board of directors, cancel Mr. Lin Hui's “Independent Director Candidate Statement”, and cancel “16.01 Lin Hui” of the 16 proposals “Proposal on Election of Independent Directors of the 5th Board of Directors of the Company” of the 2023 Annual General Meeting of Shareholders.
