Trupanion Repeat Insider Selling Not A Positive Indicator

Trupanion Repeat Insider Selling Not A Positive Indicator

Trupanion

Trupanion, Inc. (NASDAQ:TRUP) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Trupanion

Trupanion

In the last twelve months, the biggest single sale by an insider was when the Executive Vice President of North America & Veterinary Strategy, Steve Weinrauch, sold US$266k worth of shares at a price of US$26.11 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$29.18. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 24% of Steve Weinrauch's holding.

Insider Ownership Of Trupanion

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 3.4% of Trupanion shares, worth about US$41m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
