Heart Test Laboratories, Inc. (HSCS) has released an update to notify the public and investors about the submission of matters to a vote of security holders.
Heart Test Laboratories, Inc. held its 2024 Annual Meeting of Shareholders on January 17, 2024, where shareholders voted on eight proposals. Over 54% of the eligible shares were represented at the meeting. The election of directors for Class I and II was approved, as well as the full issuance of shares for the ELOC Issuance Proposal, the 2023 Employee Stock Purchase Plan, an auditor ratification, a reverse stock split, and a corporate name change to “HeartSciences Inc.” A proposal to reduce quorum requirements did not pass, leading to an approved adjournment to solicit more votes. The reconvened meeting is scheduled virtually for February 15, 2024.
