(Kuala Lumpur, 13th report) Following the independent advisor's opinion that Sunway's offer $SUNWAY (5211.MY)$ to acquire IJM at 3.15 ringgit per share $IJM (3336.MY)$ is neither fair nor reasonable, the IJM board has also broken its silence today, recommending shareholders to reject the acquisition offer!
The independent advisor appointed by IJM, Profit Securities, stated in its independent report that IJM’s fair value is between 5.84 ringgit and 6.48 ringgit per share, far higher than Sunway's offer of 3.15 ringgit.
Moreover, the independent advisor believes that IJM is still in a growth phase, with its potential not yet fully reflected in its stock price. At the same time, the stock is highly liquid, allowing shareholders to trade on the market without relying on the acquisition for cashing out.
Therefore, Profit Securities considers this acquisition 'unfair and unreasonable' and recommends shareholders to reject it.
Integration Risks
Acknowledging the views of the independent advisor, IJM’s board further believes that IJM can already operate maturely as an independent entity and achieve a higher valuation. A merger of equals would not add significant value to either party but instead expose them to extremely high integration risks.
The board also believes that the integration of two well-known local large construction companies might weaken healthy competition within the industry. If IJM shareholders accept Sunway's offer, they may lose the advantage of high dividend yields.
