Board says vote FOR everything:

1️⃣ Approve >19.99% share issuance on Dec 2025 warrants (NYSE compliance — potential MASSIVE dilution)

2️⃣ Give Board power for one or more reverse splits (they’re already doing 1:4.99 now)

3️⃣ Up to $50M more private raises @ up to 30% discount

4️⃣ Issue 6M shares to S.F.E. Equity

5️⃣ Issue 50M shares to related party (CEO’s company) for Orbit S.r.l. acquisition

6️⃣ Adjournment if they need more votes

This is all part of their Defense & Security Transformation Plan + Orbit buy. They just closed a $12M public offering too.

Heavy dilution incoming… but if the pivot works it could be huge.
