You are cordially invited to attend the Special Meeting of Stockholders (the “Special Meeting”) of Mobiquity Technologies, Inc. (the “Company”) to be held on Thursday, December 14, 2023 at 9:00 a.m. Eastern Standard Time. We are planning to hold our December 2023 Special Meeting virtually via the Internet at https://www.cstproxy.com/mobiquitytechnologies/sms2023 or via telephone access (listen-only) as follows: within the U.S. and Canada: 1 800-450-7155 (toll-free), or outside of the U.S. and Canada: +1 857-999-9155 (standard rates apply). You will not be able to attend the Special Meeting at a physical location. At the Special Meeting, stockholders will act on the following matter:
·To approve for purpose of complying with Nasdaq Listing Rule 5550(a)(2), granting the Board of Directors discretionary authority to amend the Company’s Restated Certificate of Incorporation to effect a reverse stock split of the Company’s common stock for the purpose of meeting the NASDAQ Capital Markets (“NasdaqCM”) minimum price for continued listing of at least $1.00 per share (Proposal No. 1);
Only stockholders of record at the close of business on November 30, 2023 are entitled to receive notice of and to vote at the Special Meeting or any postponement or adjournment thereof.
Your vote is important. Whether or not you plan to attend the Special Meeting, please vote electronically via the Internet or by telephone, or, if you requested paper copies of the proxy materials, please complete, sign, date and return the accompanying proxy card or voting instruction card in the enclosed postage-paid envelope. If you attend the Special Meeting virtually and prefer to vote at the Special Meeting, you may do so even if you have already voted your shares. You may revoke your proxy in the manner described in the proxy statement at any time before it has been voted at the Special Meeting.
