Q: Major foreign exchanges halted the trade of Russian stocks. What happened to Sber's depositary receipts?
A: On 2 March 2022, the London Stock Exchange announced the suspension of trading in depositary receipts of Russian companies, including Sber. This move was made by the exchange to protect the interests of investors and will remain in effect until the exchange revises the decision.

Q: Will the suspension of trade in Sber’s depositary receipts on foreign stock exchanges cause a delisting of its securities?
A: The decision to delist from foreign stock exchanges can be made by the issuer, the exchange listing the stocks, or the regulator, in line with the listing rules of the stock exchange and the regulator.

Q: What will happen to Sber’s depositary receipts in the event of a delisting from foreign exchanges?
A: All holders of depositary receipts may convert them into Sber’s ordinary shares within a designated period. You may find detailed terms of conversion in the depository agreement on our website .

Q: What operations are available with Sber’s depositary receipts? Can I convert them into ordinary shares?
A: As the trade on the London Stock Exchange was suspended, sale and purchase of Sber’s depositary receipts on the international exchange is unavailable for the time being.
Both Russian residents and foreign nationals are entitled to convert depositary receipts into Sber’s ordinary shares. According to Bank of Russia information letter No. IN-01-31/26 (ИН-01-31/26) of 5 March 2022, the approval envisaged in Subclause B (Б), Clause 1, of Decree No. 81 dated 1 March 2022 of the Russian President is not needed for operations relating to the conversion of depositary receipts into shares of a Russian issuer, provided that, as a result of such conversion, the Russian issuer’s shares are credited to a depo account opened for the depositary receipts holder.

Currently, transactions with securities through the National Settlement Depository (NSD) have become unavailable because the European depositary and clearing systems Clearstream and Euroclear have suspended services to NSD. Operations will become available after clearing systems receive clarifications from regulators following their review of documents and information regarding NSD and the procedure for applying new regulations.

Q: Will I receive dividends on my Sber depositary receipts?
A: Decision on the amount and payment of dividends is made annually by the Annual General Meeting of Shareholders (AGM), which, as recommended by the Sber Supervisory Board, is scheduled for 29 June 2022.
All holders of Sber’s ordinary and preferred stock, as well as holders of depositary receipts, residents and non-residents, have the right to receive dividends as of the close of business day of determining the list of persons entitled to dividends.

Decree No. 95 dated 5 March 2022 of the Russian President sets up the following practice for paying securities yield to non-residents:

- to non-residents affiliated with the states that have imposed economic sanctions against Russia – according to the Bank of Russia procedure. As of the time of this publication, the procedure has not yet been established.

- to non-residents not affiliated with the states that have imposed economic sanctions against Russia – in Russian rubles without using C-type accounts.

Q: Where can I find the financial and operating results of Sber Group?
A: In accordance with the decision of the Bank of Russia to temporarily reduce the disclosure of financial statements by credit institutions on their websites, Sber has suspended the publication of information about a credit institution and a banking group in the forms and within the time limits specified in the Federal Law “On Banks and the Bank’s activities” and the Federal Law “On Consolidated Financial Statements”. Sber is currently working on options for additional possible disclosure of information. Sber will make additional notifications as soon as such options are found.
